SEC Proposes an Update to Transfer Agent Rules, Embracing the Blockchain and Tokenization Era

On September 1, the U.S. Securities and Exchange Commission (SEC) proposed amendments to transfer agent rules, noting that these regulations have not undergone major updates since their initial introduction in the late 1970s. Transfer agents serve as record keepers for securities, responsible for maintaining ownership records, handling mergers and dividend distributions, and playing a critical role in clearing and settlement. SEC Chair Paul Atkins stated that the proposal will "streamline and modernize" the commission’s rules to align with transfer agents’ current processes and operations, including the use of electronic communications and blockchain technology in securities issuance and share transfers. The rule revisions will update certain terminology and electronic system usage guidelines to adapt to technological advancements. As transfer agents increasingly operate in environments with emerging technologies such as electronic markets, tokenized securities, and artificial intelligence, the SEC noted that transfer agents interacting with tokenized securities, distributed ledger technology, and smart contracts must manage risks related to blockchain data integrity, tokenized securities security, and distributed ledger operational models.
